The individual in this position will negotiate and draft agreements for Showtime’s original programs as more fully set forth below. The individual must be familiar with all forms of exploitation of audio-visual programming, including linear, on demand, subscription, per transaction and all media including cable, internet, mobile.
The individual’s primary responsibility will be drafting and negotiating network license agreements and other rights deals under the immediate supervision of the EVP Business Affairs and Production. He/she (hereafter "she") will also assist Business Affairs SVPs on their projects and, if she has prior experience negotiating deals for talent, negotiate her own talent and rights deals.
The individual will be responsible for providing legal advice in areas related to her projects such as ancillary rights, oversight of the administration ancillary to contractual obligations, supervising litigation, etc.
Assist Business Affairs SVPs on development projects, primarily by drafting and negotiating agreements for deals made by such existing SVPs for rights, writers, producers, directors and actors in connection with the development and production of Original Programming.
The individual must be able to synthesize complex deal points and reduce them to clear, effective contract language. An ability to anticipate the practical implication for production and marketing of provisions requested by talent representatives is important, as is the ability to interact seamlessly with and obtain input from executives in the creative, production, business affairs administration and finance departments.
Supervise all business/legal aspects of current production of Original Programming, including clearance, above-the-line labor issues, actor test options and writing staff deals and review of marketing materials.
Miscellaneous responsibilities include primary responsibility for negotiating and drafting quitclaim agreements, turnaround agreements and package agreements with agencies.
A strong background in contract law and intellectual property law. Must be able to interpret and draft complex talent, co-production and licensing agreements. Familiarity with litigation procedures and strategy is a plus.
Applicant must be familiar with various forms of program licensing and co-financing arrangements. Familiarity with revenue splitting/contingent compensation arrangements, and different approaches to deferred and contingent compensation is desirable.
Applicant must have a good understanding of the television industry, including all the current and developing business models. Familiarity with different forms of exhibition and licensing in the digital arena is important.
Strong writing and communication skills. Ability to interact with senior management.
